CANDIDATE AGREEMENT

Having reviewed CapitalLinkUSA’s Brain Trust™ Angel Network (the “Network”) website www.BrainTrustAngel.com (the “Website”), I am interested in the self-selection process of the Reverse Resume™ Flow and the prospect of proactively designing my own relationship with a Company of my choice.  Specifically, I am interested in becoming a member of the Network of experienced professional managers, executives, and potential investors ready to take advantage of this unique opportunity (collectively, “Brain Trust Angels”) to be introduced to growing companies who need my particular talents, experience, capital and other resources.  I represent that I fit the personal and professional description of Brain Trust Angels on the Website, and I understand that this agreement (the “Agreement”) sets forth the terms and conditions for my prospective membership in the Network, and that by confirming my acceptance below, I confirm my request to be accepted as a Brain Trust Angel-member of the Network and my agreement to abide by all of those terms and conditions if my request is accepted.

I understand that CapitalLinkUSA is not an employment agency or executive search firm.  Instead, CapitalLinkUSA’s unique Brain Trust Angel Network uses a proprietary Reverse Resume Flow self-selection process which allows me and other qualified Angels to proactively identify fast-growth companies which we believe offer exceptional opportunities to maximize the value realization from our respective talents, experience and resources.

I understand that Companies who have joined the Brain Trust Angel Network and posted their Corporate Resumes™ on the Website are seeking to identify and explore introductions to professionals who are interested in investing their time, talents and resources in the upside of an entrepreneurial growth strategy. In addition to developing, fostering  and maintaining the Brain Trust Angel Network and Website, I understand that CapitalLinkUSA will facilitate introducing me to Companies I identify as outlined below (“Introductions”).

1.         I understand and agree that, following acceptance of my membership, all Brain Trust Introductions will follow a series of steps, beginning with my review of the Corporate Resumes of the companies who have joined the Network as Brain Trust company-members (“Companies”) and my selection of a Company to which I desire an Introduction. 

2.         To initiate an Introduction, I will follow the instructions and specifications outlined on the Website (and amplified in the Brain Trust Angel Manual which I will receive upon acceptance of my membership in the Network) to create my Introduction Letter.  My Introduction Letter will effectively addresses the needs of the Company I identify and the role I would expect to play in the implementation of the Company’s growth strategy.  I will email my Introduction Letter to membership@BrainTrustAngel.com with a subject line of “Introduction Request”, identifying the Brain Trust Company reference number and include my curriculum vitae together with the Unique Ability questionnaire as outlined in the Brain Trust Manual.  I understand that I can expect a response (either suggesting edits to the letter or an approval that the letter has been forwarded to the Company) from CapitalLinkUSA, typically within 5 business days.    Companies are requested to respond within 5 business days.

3.         I understand the purpose of the Introduction Letter is to secure a conference call, facilitated by CapitalLinkUSA, to explore the Company’s interest in a face-to-face meeting.  Before a permanent relationship is established, a Beta working relationship (designed in dialogue with Capital Link and consisting potentially of as little as 1 week or as long as 3 months) may be negotiated directly between me and the Company to ensure a proper fit.  The Company and I will negotiate whatever form of fees, expenses and/or compensation, if any, that may be associated with the Brain Trust Reverse Resume Flow (including travel and related expenses.)

4.         I understand that my membership fee is determined by my selection of Executive, Director or Partner Level membership as part of completing my application process, and I agree to pay the fee associated with the membership level I selected  (the “Initiation Fee”).  The Initiation Fee will cover the first 12 months of my membership, and membership at all levels will include:

a)   access to the Corporate Resumes of all Companies;

b)   a copy of the Brain Trust Angel™ Network Manual mentioned above, which amplifies the website description of the Reverse Resume™ Flow self-selection process including Introduction Letter specifications and process, Beta purpose and design, and permanent relationship structure insights;

c)   live facilitation by CapitalLinkUSA of an introductory conference call with selected Companies.  (I understand that I determined the number of these introductory conference calls to which I will be entitled when I selected my membership level). CapitalLinkUSA’s approach is to assist  me in communicating the core value of the potential relationship, shared vision and goals I  identify and thereby maximize reciprocal interest in a face-to-face meeting; and

d)   personalized coaching (at the level of involvement and time commitment I select) throughout the Reverse Resume Flow, including a specified number of Introductions commensurate with the level of membership and Initiation Fee I select below.

 

5. I understand that, pursuant to separate agreements between CapitalLinkUSA and each member Company, CapitalLinkUSA will earn and be paid fees by each Company with whom I establish a relationship, whether it is an employment, consulting, investment, participation or other relationship.  Therefore, if I negotiate or begin any relationship with any Company to whom I have been introduced through my Network membership, I agree to immediately notify CapitalLinkUSA and provide CapitalLinkUSA with correct copies of all agreements and other documents and correspondence relative to any such relationship.  I will send each such document to CapitalLinkUSA via email, to the following address: membership@BrainTrustAgnel.com with the subject line “Brain Trust Agreement”. I understand that fulfillment of these obligations by me is critical to enforcement of CapitalLinkUSA’s rights to be compensated for its efforts in connection herewith and is a substantial part of the consideration I am agreeing to provide for my membership.

6.         Because all Company information provided to me as a member of the Network is provided by the Companies themselves, I acknowledge and agree that CapitalLinkUSA will have no liability with respect to any information I receive regarding any Company, or arising out of any act, omission, or other conduct on the part of any Company.  In addition, except for information which becomes publicly known through legitimate means not involving any act or omission by me, I shall not disclose to any other person, firm or entity, or use for any purpose not contemplated herein, any information received from the Website, from CapitalLinkUSA or from any Company as a result of my membership, and I shall keep all of the same strictly confidential.  I represent and warrant that all information I supply to CapitalLinkUSA and any Company will be true, correct and complete in all respects.  I agree that my membership in the Network and access to the Website is subject to all of the Website Terms of Use, which are incorporated into this Agreement and are viewable by clicking the following link: www.CapitalLinkUSA.com/termsofuse.html.

7.          I understand that CapitalLinkUSA developed and maintains the Network and the Website to facilitate and speed the self-selection process for Brain Trust Angels to introduce themselves to Companies in a way that is designed to reveal and maximize the value of potential relationships.  I acknowledge and agree that CapitalLinkUSA makes no representations or warranties as to the results of the process, the contents of the Website or Brain Trust Angel Manual, or otherwise.

8.         Upon CapitalLinkUSA’s acceptance of my membership in the Network and confirmation of receipt of the Initiation Fee I select below, this Agreement shall be effective for an initial term of 12 months.  All of my obligations under paragraphs 5, 6 and 7 above shall survive any expiration or termination of this Agreement and my membership.
